Acceptance of Terms
By engaging the services of New Ad City LLC, you agree to be bound by these terms and conditions. Please read these terms carefully and seek legal advice if necessary.
Services
New Ad City LLC will provide digital marketing services as outlined in the agreed-upon proposal or contract. The scope, deliverables, and pricing will be detailed in a separate document. Services may include, but are not limited to, web design, custom coding, animation, AI, VR, 3D solutions, and comprehensive marketing strategies.
Client Responsibilities
The client agrees to cooperate in a timely manner, providing necessary access, information, and materials required for the fulfillment of services. Delays caused by the client may affect project timelines and results. The client is responsible for ensuring that all materials provided are accurate and complete.
Payment Terms
Payment terms and amounts will be specified in the contract. Invoices are due on the agreed-upon schedule. Failure to make timely payments may result in a pause in services or termination of the contract. New Ad City LLC reserves the right to charge interest on overdue payments and to recover any costs incurred in collecting late payments.
Confidentiality
Both New Ad City LLC and the client agree to maintain confidentiality regarding any proprietary or sensitive information shared during the course of the engagement. This includes, but is not limited to, business plans, financial information, and client lists.
Intellectual Property
All intellectual property created during the course of the project remains the property of New Ad City LLC until full payment has been received. Upon full payment, ownership of the final deliverables will transfer to the client. New Ad City LLC retains the right to use any work created for promotional purposes.
Termination
Either party may terminate the contract with written notice if the other party breaches any material term of the agreement and fails to remedy the breach within a specified period. Upon termination, the client agrees to pay for all services rendered up to the date of termination.
Limitation of Liability
New Ad City LLC will not be liable for any indirect, incidental, or consequential damages arising out of or in connection with the services provided. The total liability of New Ad City LLC for any claim arising out of or in connection with this agreement shall not exceed the amount paid by the client for the services in question.
Governing Law
These terms and conditions are governed by and construed in accordance with the laws of the State of Idaho. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Idaho.
Amendments
New Ad City LLC reserves the right to amend these terms and conditions at any time. Any changes will be communicated to the client and will become effective upon acceptance by the client.
Entire Agreement
These terms and conditions, along with the proposal or contract, constitute the entire agreement between New Ad City LLC and the client, superseding all prior agreements and understandings, whether written or oral.
By engaging the services of New Ad City LLC, you acknowledge that you have read, understood, and agree to be bound by these terms and conditions.
